These Terms of Service ("Terms") constitute a legally binding agreement between you and Taxflow, Inc. ("Taxflow," "we," "us," or "our") governing your access to and use of our tax preparation and document management platform, including any associated websites, applications, and services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Taxflow provides a platform that enables tax professionals and their clients to:

• Upload, organize, and manage tax-related documents.
• Automatically extract and process information from tax documents using artificial intelligence.
• Collaborate between tax professionals and clients through secure portals.
• Track required documents and manage tax preparation workflows.

Important: Taxflow is a document management and workflow tool. We do not provide tax advice, accounting services, or legal advice. You are solely responsible for the accuracy of your tax filings and should consult qualified professionals for tax advice.

Account Registration

To access certain features of the Service, you must create an account. You may register using Google or Microsoft authentication. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account. We reserve the right to disable any account at any time if we believe you have violated these Terms.

Account Types

The Service offers different account types with varying features and permissions, including firm administrator accounts, team member accounts, and client portal access. Your access to features depends on your account type and subscription plan.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Upload or transmit viruses, malware, or other malicious code.
• Attempt to gain unauthorized access to the Service, other accounts, or computer systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Reverse engineer, decompile, or disassemble any aspect of the Service.
• Use automated systems (bots, scrapers) to access the Service without our express written permission.
• Upload content that infringes on intellectual property rights of others.
• Share your account credentials or allow others to access your account.

Our Intellectual Property

The Service and its entire contents, features, and functionality (including but not limited to all information, software, code, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Taxflow, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Content

You retain ownership of all content you upload to the Service ("User Content"). By uploading User Content, you grant us a limited, non-exclusive, royalty-free license to use, process, and store your User Content solely for the purpose of providing the Service to you. We will not use your User Content for any other purpose without your consent.

Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use such feedback for any purpose.

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service or the servers that make it available are free of viruses or other harmful components.

No Tax Advice: Taxflow does not provide tax, legal, or accounting advice. The Service is a tool to assist with document management and workflow automation. All tax decisions and filings are your sole responsibility. Consult with qualified tax professionals for advice specific to your situation.

AI Processing: The Service uses artificial intelligence to extract and process information from documents. While we strive for accuracy, AI-generated results may contain errors. You are responsible for reviewing and verifying all extracted information before use.

TO THE FULLEST EXTENT PERMITTED BY LAW, TAXFLOW AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE AMOUNTS PAID BY YOU TO TAXFLOW DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Taxflow and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including but not limited to your User Content, any use of the Service's content and features other than as expressly authorized in these Terms, and your violation of any third-party rights.

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

You may terminate your account at any time by contacting us. Upon termination, your right to use the Service will immediately cease. We may retain certain information as required by law or for legitimate business purposes.

All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date. For significant changes, we may also send you an email notification.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.
